Terms of Service — ProspectFlow

Welcome to ProspectFlow. These Terms of Service ("Terms") govern your access to and use of the ProspectFlow website, software, Chrome extension, and related services (collectively, the "Service"), operated by Ruben Plata ("ProspectFlow," "we," "us," or "our").

By purchasing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

ProspectFlow is a software-as-a-service (SaaS) customer relationship management (CRM) and lead-organization tool designed for individuals and small businesses conducting organic marketing and prospecting activities on Facebook. The Service includes a web-based dashboard and a Chrome browser extension.

ProspectFlow is a read-only tool. It captures and organizes information you already have access to on Facebook (such as comments, messages, and profile data visible to you). ProspectFlow does not post content, send messages, or take any automated action on your behalf on Facebook or any other platform. Where the Service uses AI to draft a message or post, it only produces text for you to review, edit, and send or publish yourself.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Account Registration

To use the Service, you must create an account by signing up with your name, a valid email address and a password, and confirming that email address. Your account starts with a free trial (see Section 4). One free trial is available per person: signing up again with a variant of the same email address (for example by adding dots or a "+" tag), or with a temporary inbox service, is not permitted. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Subscription, Fees, and Payment

  • Free trial without a card: A free trial signup lasts 10 days from when you first confirm your email address. No payment details are collected and nothing is charged. When the trial ends, or when a paid plan has ended (for example after you cancel and the period you paid for runs out), your account becomes read-only: you can still view and export your leads and data, but you cannot add leads or use the agents, scans and drafting features until you choose a paid plan. We keep your data and do not delete it automatically because a trial or plan ended; you may ask us to delete it at any time.
  • After your free trial you can upgrade to a monthly subscription ($37 per month, which renews monthly until you cancel) or a one-time lifetime access purchase ($497, offered to a limited number of founding members while spots last). Prices are shown on the Upgrade page before you pay, and payments are processed by Stripe.
  • All sales are final after you upgrade. You can try ProspectFlow free for 10 days before you pay. We do not issue partial refunds. We may, at our discretion, refund an individual payment, and doing so does not create a right to a refund in any other case. This does not affect any rights you have under applicable consumer law.
    • Monthly plan: Billed monthly in advance and renews monthly until you cancel. You can cancel at any time from your billing page; you keep access until the end of the period you have already paid for and will not be charged again. Payments already made are non-refundable, including for any part of the current period.
    • Lifetime access: A one-time payment for lifetime access. Lifetime access means access for as long as ProspectFlow operates. Lifetime purchases are non-refundable.
  • We reserve the right to change pricing for future billing cycles with reasonable notice.
  • Failure to pay may result in suspension or termination of your access to the Service. If a monthly payment fails, we keep your full access for 7 days so you can update your payment method, after which your account becomes read-only until the payment is resolved.
  • AI features use your own Anthropic API key. Anthropic bills you directly for that usage; it is not included in any ProspectFlow plan, including the free trial.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including Facebook's own Terms of Service and Community Standards
  • Engage in spam, harassment, or deceptive marketing practices
  • Attempt to reverse-engineer, resell, or redistribute the Service without authorization
  • Use the Service for any unlawful, fraudulent, or harmful purpose
  • Use the AI features in a way that violates Anthropic's terms or usage policies

You are solely responsible for how you use any data or leads captured through the Service, including compliance with applicable privacy and marketing laws (such as CAN-SPAM or similar regulations in your jurisdiction).

6. Facebook Platform Compliance

ProspectFlow is an independent tool and is not endorsed by, affiliated with, or sponsored by Meta Platforms, Inc. or Facebook. Your use of Facebook remains subject to Facebook's own Terms of Service, and you are responsible for ensuring your use of ProspectFlow complies with those terms.

7. Intellectual Property

All content, software, branding, and materials associated with ProspectFlow are the property of Ruben Plata / ProspectFlow and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your own business purposes only.

8. Third-Party Services

The Service may integrate with or rely on third-party platforms (including Facebook, Anthropic, Stripe, Resend, Supabase, and Vercel). We are not responsible for the availability, performance, or policies of these third-party services.

9. AI Features

Some features of the Service (such as the DM Coach, the AI Message Generator, Offer profiles, Content Studio, and the Win / Loss insight) use artificial intelligence provided by Anthropic. These features are optional.

  • Your Anthropic account and key. The AI features work with your own Anthropic API key. You are responsible for obtaining and safeguarding the key, for your Anthropic account, and for all charges Anthropic bills to it. Your use of Anthropic's services is also subject to Anthropic's own terms and policies.
  • Your information. When you use an AI feature, information from your account (for example lead details, notes, conversations, and Offers) is sent to Anthropic to produce the result, as described in our Privacy Policy. You are responsible for deciding what to use the AI features on and for having any rights or permissions needed to do so.
  • Review before you use it. AI output can be inaccurate, incomplete, or unsuitable. It is a draft or suggestion, not advice. You are solely responsible for reviewing, editing, and deciding whether to send, post, or rely on anything the AI produces, and for its compliance with the law and with Facebook's terms.
  • You send every message yourself. ProspectFlow never sends a message, posts, or changes anything on Facebook for you. The AI features and the agents (such as the Lead Assistant, Today's check, the Pipeline chat, the Content Kit and the Messenger Scanner) only read what you choose to give them and propose drafts, suggestions or changes. Nothing is applied to your leads until you approve it, and you copy and send every message yourself.
  • Your Facebook activity. You are solely responsible for your own activity on Facebook, including what you send, post and capture, and for complying with Facebook's terms and with the law. The extension only reads what is already on your screen when you click a button; it does not browse or act on Facebook for you.
  • Availability. We do not control Anthropic's services and do not guarantee that the AI features will be available, uninterrupted, or produce any particular result.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or that it will result in any specific business outcome (such as increased sales or leads).

11. Limitation of Liability

To the fullest extent permitted by law, ProspectFlow and its owner shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including lost profits or lost data.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms. You may cancel your monthly subscription at any time; you keep access until the end of the period you have already paid for. Cancelling does not entitle you to a refund.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.
